These Terms of Service (“Terms”) govern your access to and purchases from Ascentra Labs (“Ascentra Labs,” “we,” “us,” or “our”) through this website. By accessing this website or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use this website or purchase any products.

1. Research Use Only

All products supplied by Ascentra Labs are for laboratory and scientific research use only (RUO). They are not for human or veterinary use, consumption, injection, topical application, diagnostic procedures, or therapeutic application. The products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for medical use, and nothing on this website constitutes medical advice or a representation that any product is safe or effective for any use in humans or animals.

Ascentra Labs describes only what a compound is and what has been studied in published research — never what it does for any person. Ascentra Labs does not provide dosing, reconstitution, administration, medical, therapeutic, or human-use guidance through any channel, including email, Discord, or any support channel.

2. Eligibility

You must be at least twenty-one (21) years of age to purchase from this website. By placing an order, you represent and warrant that you are at least 21 years old and that you are a qualified researcher, laboratory, or organization familiar with the safe handling of research chemicals and with all applicable safety procedures and regulations. You assume full responsibility for compliance with all laws governing the purchase, possession, handling, and use of these products.

3. Nature of the Supplier

Ascentra Labs is a U.S.-based research peptide brand and supplier. A contract facility manufactures the products and holds the cGMP-compliant facility credential; Ascentra Labs does not itself hold a manufacturing license and is not the manufacturer. The cGMP designation describes the facility’s quality systems and does not alter the Research Use Only status of the products.

Ascentra Labs is a supplier of research chemicals. Ascentra Labs is not a compounding pharmacy as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility as defined under Section 503B of that Act.

4. Permitted Use; No Resale or Export

Products are sold solely for the buyer’s internal research and may not be resold, repackaged, relabeled, redistributed, or provided to any third party without Ascentra Labs’ express prior written approval. No license to any patent or other intellectual property is granted or implied by the sale of any product. You agree not to export any product. Products are not sold for, and may not be used in, any clinical, diagnostic, or human-subject research, or in any food, drug, medical device, or cosmetic for humans or animals.

5. Buyer Responsibilities and Safety

You acknowledge that there are hazards associated with the handling and use of research chemicals. You represent and warrant that, based on your own independent review, you are knowledgeable about the health and safety hazards associated with the products, the controls necessary to handle them safely, and the regulations governing their use and exposure. You agree to handle all products only through qualified, trained individuals and to comply with all applicable laws and institutional safety requirements.

Products have not been tested by Ascentra Labs for safety or efficacy in any food, drug, medical device, cosmetic, or commercial use. You agree to properly test and use any product in accordance with the practices of a reasonable expert in the appropriate scientific field and in strict compliance with all applicable laws and regulations.

6. Orders, Pricing, and Payment

All prices are in U.S. dollars and are subject to change without notice. Applicable sales tax will be added where required. Payment in full is required before an order ships. We reserve the right to refuse, limit, or cancel any order at our sole discretion, including orders that appear to be placed for human or veterinary use, orders we believe are placed by resellers, or orders where qualification cannot be reasonably established. We may require confirmation of research purpose before fulfilling an order. We reserve the right to correct any errors in pricing or product information, even after an order has been placed.

Product availability may change at any time without notice. Title and risk of loss transfer to you once the carrier accepts the shipment.

7. Product Documentation

Batch-specific documentation, including Certificate of Analysis documentation, is provided for stocked lots where available and corresponds to a specific lot. Documentation requests may be directed to contact@ascentralabs.co with the order reference and lot number.

8. Account and Customer Information

If you create an account or place an order, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

9. Returns and Refunds

All sales are final once an order has shipped, except for items that arrive damaged or are shipped in error. Please see our Refund & Returns Policy for full details, including the procedure and time limit for reporting a damaged or incorrect order.

10. Disclaimer of Warranties

The website and all products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ascentra Labs disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted or error-free, or that product descriptions or other content are accurate, complete, or current.

11. Limitation of Liability

To the fullest extent permitted by law, Ascentra Labs and its owners, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the website or any product, even if advised of the possibility of such damages. In no event will our total liability for any claim exceed the amount you paid for the product giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ascentra Labs and its owners, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your handling or use of any product, your breach of these Terms, or your violation of any law or the rights of any third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles. Before initiating any formal legal action, the parties agree to first attempt to resolve any dispute through good-faith informal negotiation for at least thirty (30) days after written notice. Any dispute not resolved through negotiation shall be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction and venue of those courts.

14. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted, with an updated “Last updated” date. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and Refund & Returns Policy, constitute the entire agreement between you and Ascentra Labs regarding your use of the website.
